SOUTHERN & PACIFIC LENDING GROUP

Terms of Service

SandPLending.com
Effective date: 9/23/26

1  About these terms

These Terms of Service govern access to SandPLending.com and use of its information, inquiry forms, and related website features. The website is operated by Growth Capital Solutions of Tennessee LLC dba Southern & Pacific Lending Group (“Southern & Pacific,” “we,” “us,” or “our”). Please read these terms before using the website. Where presented for acceptance, your agreement to these terms governs that use. If you do not agree, do not use the website or submit information through it.

2  Our brokerage services

We assist businesses and real estate investors in seeking commercial and business-purpose financing from third-party lenders and financing providers. We act as a financing broker, not as the lender, unless a separate written agreement expressly states otherwise. We do not make a lender’s credit decisions or bind a lender to approve, close, or fund a transaction.

Our services are intended for persons age 18 or older who can enter into a binding agreement. If you act for a business or another person, you represent that you have authority to provide information and act on their behalf. The website is not an offer of personal, family, or household financing. Product availability depends on the transaction, location, and applicable requirements.

3  No commitment or guarantee of financing

Submitting an inquiry or application does not establish a loan commitment or guarantee approval, a particular rate, a closing date, or funding. All financing is subject to the provider’s eligibility requirements, underwriting, verification, documentation, and closing conditions.

Advertised rates, loan amounts, down payments, amortization periods, and other terms are illustrative unless expressly identified as a binding written offer. They may change or become unavailable. Previous transactions, testimonials, and funding timelines describe individual experiences and do not guarantee similar results. Any government-backed program remains subject to its own requirements; our website does not imply government endorsement.

4  Information you provide

You agree to provide accurate, current information and promptly correct material errors or changes. Do not submit altered, misleading, or unauthorized documents. You are responsible for obtaining permission to provide information about co-owners, guarantors, employees, or other persons. Use the document delivery method we designate for sensitive financial records; do not place Social Security numbers, bank credentials, or financial account numbers in a general contact form.

5  Applications and credit information

At your request, and subject to applicable law and any required authorization, we may help assemble your financing package and submit relevant information to prospective lenders and service providers. The Privacy Policy describes our information practices. A lender may require additional applications, identity verification, credit information, or supporting records.

Merely visiting this website or submitting a general inquiry does not authorize a consumer credit report. Any credit report must be obtained for a legally permissible purpose and with any required separate authorization. Nothing in these terms replaces a lender’s required disclosures or your specific credit authorization.

6  Fees and separate agreements

Broker fees, lender fees, third-party expenses, and any compensation arrangements applicable to your transaction will be addressed in separate disclosures or written agreements as required. These website terms do not create a fee obligation. Any engagement agreement, fee agreement, lender commitment, or financing document governs the matters it addresses and controls over conflicting website language on those matters.

Do not rely on website content as a rate lock, loan commitment, fee quote, or amendment of a signed agreement. Financing providers may offer different terms, and we do not promise to identify every available provider or the lowest rate in the market.

7  Communications and electronic delivery

When you request assistance, we may respond using the contact information you provide, consistent with applicable law and your preferences. Website use alone does not constitute consent to automated marketing calls or texts. Any required marketing consent must be obtained separately. You may request that marketing communications stop by contacting us or using an available unsubscribe option.

Any consent required for electronic delivery of transaction documents or electronic signatures will be obtained separately. These terms do not replace that process.

8  Permitted website use

You may use the website for lawful purposes to learn about our services and request assistance. You may not attempt unauthorized access, introduce malicious software, impersonate another person, submit fraudulent information, interfere with website operations, or collect other users’ personal information without authority.

Website text, branding, graphics, and other materials belong to us or their respective owners. You may view and retain reasonable copies for your internal evaluation of our services. Other reproduction, distribution, or commercial use requires permission, except as allowed by law.

9  Third parties and professional advice

Third-party links and services operate under their own terms and privacy policies. We do not control their websites, underwriting decisions, or performance. Website information is general and is not legal, tax, accounting, or investment advice. Obtain advice appropriate to your transaction from your own qualified professionals.

10  Website availability and liability

To the extent permitted by law, the website and its general information are provided “as is” and “as available,” without warranties of uninterrupted access, accuracy, completeness, fitness for a particular purpose, or noninfringement. We may correct errors, update content, or suspend website features.

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages arising from website use, including lost profits or business opportunities. This provision concerns website use and does not alter obligations under a separate signed agreement. It does not exclude liability for fraud, willful misconduct, gross negligence, or any liability or remedy that applicable law does not permit us to exclude. We do not guarantee the acts or decisions of independent financing providers.

11  Governing law and disputes

These terms are governed by Tennessee law, without regard to conflict-of-law rules, except where applicable federal law or mandatory protections require otherwise. Please contact us first so we can try to resolve questions informally; doing so is not a condition of exercising your legal rights. These terms do not require arbitration or waive any right to a jury trial or participation in a class action.

12  Changes and other provisions

We may update these terms by posting a revised version and effective date. Changes apply prospectively, and we will provide additional notice or obtain agreement when required. They do not retroactively change signed financing or brokerage agreements.

If a provision is held unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision does not waive it. These terms govern website use; separate agreements govern the services and transactions they cover. The Privacy Policy describes information practices and is not a substitute for any legally required consent.
